Promoter Intelligence Terms of Service
These terms govern access to promoterintelligence.com and related services used to monitor, synthesize, benchmark, project, and direct commercial intelligence for live event operations.

1. Agreement to These Terms
These Terms of Service are a legal agreement between Promoter Intelligence and the business, organization, or individual that accesses or uses the service. If you use the service on behalf of an organization, you confirm that you are authorized to accept these terms for that organization.
Do not use the service if you do not agree to these terms or do not have authority to bind the organization you represent.
2. The Service
Promoter Intelligence is a business-to-business commercial intelligence service for live event teams. The service structures ticketing, marketing, audience, event, and platform data into an operating layer for monitoring pace, detecting deviation, benchmarking performance, projecting outcomes, and supporting targeted intervention.
Features may include reporting surfaces, event analysis, forecasting, campaign performance views, ad submission workflows, file upload workflows, connected account management, server-side conversion routing, and related operational tools.
3. Accounts and Access
You are responsible for maintaining accurate account information, protecting login credentials, and ensuring that only authorized users access your organization's workspace. You must promptly notify us if you believe an account has been compromised or used without authority.
We may suspend or restrict access if we reasonably believe an account creates security, operational, legal, platform compliance, or tenant isolation risk.
4. Client Data and Content
You retain ownership of data, files, creative material, campaign information, event information, and other content you provide to the service. You grant Promoter Intelligence the rights needed to host, process, transmit, analyze, display, and otherwise use that content to provide, protect, and improve the service.
You are responsible for confirming that you have the rights, permissions, notices, and consents required to submit data or content to the service, connect third-party accounts, and request processing through connected platforms.
5. Connected Platforms
The service may connect to third-party platforms such as ticketing systems, advertising platforms, analytics services, file storage providers, CRM systems, and other commercial systems. Your use of those platforms remains subject to their own terms, policies, permissions, account settings, and technical limits.
Promoter Intelligence is not responsible for third-party platform outages, policy changes, API limits, data availability, account decisions, moderation decisions, billing decisions, or review outcomes.
6. Acceptable Use
You must not use the service to:
- Violate any law, regulation, contract, or platform policy.
- Submit data or content that you do not have authority to use.
- Interfere with the security, availability, integrity, or normal operation of the service.
- Attempt to access another client's workspace, data, systems, or connected accounts.
- Reverse engineer, scrape, overload, resell, or misuse the service except as permitted in writing.
- Upload malicious code, deceptive content, unlawful material, or material that infringes another party's rights.
7. Commercial Intelligence Outputs
The service may generate analysis, comparisons, forecasts, recommendations, alerts, projections, and other intelligence outputs. These outputs are provided to support business judgment. They are not guarantees of revenue, ticket sales, advertising performance, audience behavior, event outcomes, or platform decisions.
You remain responsible for reviewing outputs, deciding how to act, and confirming that any action is appropriate for your business, your data, your contracts, and applicable laws.
8. Fees and Paid Services
Fees, payment terms, subscription periods, renewal terms, usage limits, service levels, and any custom commitments are governed by the applicable order form, statement of work, invoice, or written agreement between you and Promoter Intelligence.
Unless the applicable written agreement says otherwise, fees are non-refundable, and you are responsible for any taxes, duties, or similar charges associated with your use of the service.
9. Confidentiality and Security
Each party may receive non-public business, technical, financial, operational, or platform information from the other party. The receiving party must protect confidential information using reasonable care and use it only for purposes related to the service or the parties' business relationship.
Promoter Intelligence uses administrative, technical, and organizational safeguards designed to protect the service and preserve tenant separation. No system can be guaranteed to be completely secure.
10. Privacy
Our Privacy Policy explains how we collect, use, protect, and delete information in connection with the service. By using the service, you acknowledge that information will be handled as described in that policy.
11. Intellectual Property
Promoter Intelligence and its licensors retain all rights in the service, including software, interfaces, workflows, models, designs, documentation, visual systems, templates, methods, aggregated benchmarks, and other materials we provide.
These terms do not grant you ownership of the service or any Promoter Intelligence intellectual property. You may use the service only for your internal business operations and only as permitted by these terms and any applicable written agreement.
12. Service Changes and Availability
We may update, modify, suspend, or discontinue parts of the service from time to time. We aim to maintain reliable access, but we do not guarantee uninterrupted, error-free, or permanently available service unless a separate written agreement says so.
13. Termination
You may stop using the service at any time. Either party may terminate access as set out in the applicable written agreement. We may suspend or terminate access if you violate these terms, create risk for the service or another client, fail to pay amounts due, or use the service in a way that may violate law or platform policy.
Sections that by their nature should survive termination will survive, including confidentiality, payment obligations, intellectual property, disclaimers, limitation of liability, and dispute provisions.
14. Disclaimers
The service is provided on an "as is" and "as available" basis unless a separate written agreement says otherwise. To the maximum extent permitted by law, Promoter Intelligence disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability.
15. Limitation of Liability
To the maximum extent permitted by law, Promoter Intelligence will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, advertising performance, platform decisions, or event outcomes.
To the maximum extent permitted by law, Promoter Intelligence's total liability for claims arising from or related to the service will not exceed the amounts paid to Promoter Intelligence for the service giving rise to the claim during the three months before the event that gave rise to liability.
16. Indemnity
You agree to defend, indemnify, and hold harmless Promoter Intelligence from claims, damages, liabilities, costs, and expenses arising from your data, your content, your connected accounts, your use of the service, your violation of these terms, or your violation of any law, contract, or third-party platform policy.
17. Governing Law and Disputes
The governing law and dispute forum are those stated in the applicable order form, statement of work, or written agreement between you and Promoter Intelligence. If no written agreement specifies them, disputes will be handled under the laws and courts of the operator's principal place of business, without regard to conflict of law rules.
18. Changes to These Terms
We may update these terms from time to time. If a change is material, we will take reasonable steps to notify affected users or clients. Continued use of the service after updated terms take effect means you accept the updated terms.
